ReLogic may, in its sole discretion, terminate or suspend your use of the Services at any time. In such cases, ReLogic shall have no liability or responsibility to you. You grant ReLogic permission to use, copy, distribute, transmit, publicly display, publicly perform, sublicense, reproduce, edit, modify, and translate information you provided, in connection with the Services without charge. GOVERNING LAW
These Terms shall be governed by, construed and enforced in accordance with the laws of the State of Colorado, as they are applied to agreements entered into and to be performed entirely within such State. Any action arising under these Terms, shall be brought only in either the state or Federal courts located in and for Denver County, Colorado and you expressly consent to the jurisdiction of said courts (or, if arbitration applies, to the jurisdiction of the arbitrator). If any provision of these Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ReLogic and any related parties, and their respective officers, directors, employees, affiliates, agents, licensors, and suppliers, from and against any and all losses, expenses, damages, cost and other consequences, including reasonable attorneys' fees, resulting from any violation by you of these Terms.

INTELLECTUAL PROPERTY
The Services and any trade and service marks are proprietary to ReLogic and its licensors and subject to all corresponding intellectual property rights. The names of actual companies, products, and services mentioned herein may be the trademarks of their respective owners.

LIABILITY LIMITATION
UNDER NO CIRCUMSTANCES SHALL RELOGIC AND/OR ITS AGENTS, EMPLOYEES, PARENTS, SUBSIDIARIES, AFFILIATES, LICENSORS, BUSINESS PARTNERS AND/OR SUPPLIERS ("RELOGIC PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR THE INABILITY TO USE THE CONTENT, LOSS OF BUSINESS, LOSS OF PROFITS, BUSINESS INTERRUPTION OR THE LIKE), ARISING OUT OF THE USE OF, OR INABILITY TO USE THE SERVICES AND BASED ON ANY THEORY OF LIABILITY INCLUDING BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF RELOGIC OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. UNLESS PROHIBITED BY LAW, RELOGIC’S TOTAL LIABILITY TO YOU FOR ACTUAL DAMAGES FOR ANY CAUSE WHATSOEVER WILL BE LIMITED TO THE GREATER OF $50 OR THE AMOUNT PAID BY YOU FOR THE SERVICE AND/OR CONTENT THAT CAUSED SUCH DAMAGE. THE FOREGOING LIMITATIONS ON LIABILITY ARE INTENDED TO APPLY TO ALL ASPECTS OF YOUR RELATIONSHIP WITH RELOGIC. UNDER NO CIRCUMSTANCES SHALL RELOGIC AND/OR THE RELOGIC PARTIES, AS APPLICABLE, BE LIABLE FOR ANY UNAUTHORIZED USE OF THE SERVICE.
